TERMS AND CONDITIONS OF SALE

1. 1. All Sales Final; No Returns or Exchanges All sales of Products are final. The Company does not accept returns or offer exchanges for any Products once they have been purchased. This includes, but is not limited to, all masonry supplies, landscape materials, tools, and ready-mix concrete. It is the Customer's responsibility to ensure the accuracy of their order, including product type, quantity, color, and specifications, before completing the purchase.
2. 2. Acceptance of Products Installation or use of any Product constitutes the Customer's acceptance of the Product as delivered and in an acceptable condition. It is the Customer's responsibility to inspect all Products for defects, damages, or discrepancies prior to installation. Once a Product has been installed, in whole or in part, it is deemed to be fully accepted by the Customer, and no claims for such issues will be considered.
3. 3. Customer Responsibility for Quantities and Take-Offs The Customer is solely responsible for all measurements, calculations, and quantity take-offs for their project. While Central Supply Inc. sales staff may assist customers based on the information provided, they do not perform take-offs or calculations and are not responsible for determining the quantities of Products needed. The Company makes no representation or warranty as to the accuracy of any quantities discussed. The final determination of the amount of Product to order rests entirely with the Customer.
4. 4. Quotations and Delivery All price quotations are for customer pick-up at our facility. Delivery services are available but must be specifically requested at the time of the order. If delivery is requested, it will be quoted and charged as a separate line item. Delivery charges are not included in standard product pricing unless explicitly stated otherwise in a written quotation.
5. 5. Ready-Mix Concrete Orders The following terms apply specifically to all orders for ready-mix concrete:

Cancellation Policy: All cancellations for ready-mix concrete orders must be communicated to and confirmed by Central Supply Inc. no less than twenty-four (24) hours prior to the scheduled delivery time. Cancellations made with less than 24 hours' notice are subject to a cancellation fee or the full cost of the order, at the Company's sole discretion.

   • B. Unloading Time and Overage Fees: The price of our ready-mix concrete includes a standard unloading time allotment, which begins upon the truck's arrival at the specified delivery site. The allotted time is calculated at ten (10) minutes per cubic yard, up to a maximum of sixty (60) minutes total.

     • Example: An order for 4 cubic yards includes 40 minutes of unloading time. An order for 7 cubic yards includes the maximum of 60 minutes of unloading time.

     It is the Customer's responsibility to ensure the job site is prepared and accessible for unloading upon the truck's arrival. Time spent on-site beyond the allotted unloading time due to delays caused by the Customer or the site conditions will incur an Overage Fee of $10.00 for every five (5) minutes or portion thereof.

   • C. Site Conditions: The Customer is responsible for providing safe and adequate access for our delivery trucks. The Customer assumes full responsibility for any damage to curbs, sidewalks, driveways, or other property resulting from the weight or operation of our vehicles.

6. Custom and Special Orders All custom-mixed stucco colors and custom-fabricated foam shapes are considered special orders. These items will be invoiced based on the quantities ordered by the Customer, regardless of whether the items are ultimately picked up or delivered. Once a special order is placed, it cannot be cancelled, and the Customer is liable for the full purchase price.

7. Storage of Products Products that are paid for, or otherwise reserved for a Customer, but are not picked up or delivered within seven (7) calendar days from the date of purchase or reservation, are subject to a storage fee of $15.00 per pallet, per week. Central Supply Inc. is not responsible for any damage or loss to products stored beyond this initial seven-day period.

8. Payment Terms Payment for all Products is due at the time of purchase, unless a credit account has been established and is in good standing. For customers with approved credit, payment is due Net 30 days from the date of the invoice. Past due accounts are subject to a service charge of 2% per month (24% per annum) or the maximum rate permitted by law.

9. Disclaimer of Warranties All Products are sold on an "AS IS" basis. Central Supply Inc. makes no warranties, express or implied, including but not to any implied warranty of merchantability or fitness for a particular purpose. Any warranty on a Product, if one exists, is provided directly by the manufacturer. All warranty claims must be directed to the manufacturer in accordance with their policies and procedures. Central Supply Inc. provides no separate or additional warranty. The Customer is responsible for determining the suitability of the Products for their intended use. Variations in color, texture, and size are inherent to natural and manufactured masonry products, and such variations are not considered defects.

10. Limitation of Liability In no event shall Central Supply Inc., its officers, employees, or agents be liable for any indirect, special, incidental, consequential, or punitive damages, including but not limited to loss of profits or business interruption, arising out of or in connection with the sale or use of its Products, even if advised of the possibility of such damages. The Company's total liability for any claim arising from the sale of Products shall not exceed the purchase price of the Products in question.

11. Governing Law This agreement and all transactions shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles.

12. Acceptance of Terms Placing an order with, and accepting delivery of Products from, Central Supply Inc. constitutes the Customer's full acceptance of these Terms and Conditions of Sale.
